Terms of Service

These Terms of Service ("Terms") govern your use of the retailerapi service — including the public website at retailerapi.com, the customer dashboard at app.retailerapi.com, the public API at api.retailerapi.com, the documentation site at docs.retailerapi.com, the @retailerapi/mcp Model Context Protocol server, and any related software, SDKs, or documentation we provide (collectively, the "Service"). By creating an account, calling the API, installing the MCP server, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

retailerapi is operated by Scepter Software LLC, a Michigan limited liability company ("we", "us", "our"). These Terms form a binding contract between you (the customer or organization you represent) and us.

1. The Service

retailerapi provides programmatic access to product data — including titles, brands, images, current prices, historical prices, seller listings, and cross-retailer offers — aggregated from publicly available retailer data. We support Walmart fully today; additional retailers (Amazon, eBay, Target, Best Buy, Lowe's, Home Depot) are enriched on demand and ship incrementally as our coverage expands.

We do not guarantee uninterrupted or error-free service. Retailer data changes continuously and may differ from what we have cached. Always verify pricing and availability with the retailer before making a purchasing decision.

2. Account and eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. You are responsible for maintaining the confidentiality of your API keys and for all activity that occurs under them. Notify us immediately at security@retailerapi.com if you suspect a key has been compromised.

You may not create accounts via automated means, evade bans by creating new accounts, or impersonate another person or organization.

3. Plans, tokens, and rate limits

The Service is sold in tiered subscription plans, each with a monthly token quota and a per-minute throttle limit. The token cost of each API call is documented at docs.retailerapi.com and is deducted from your monthly quota at the time of the call. Unused tokens do not roll over. The free tier is token-limited (1,000 tokens, no expiration) and is not a perpetual replacement for paid plans.

We may, at our discretion, throttle or temporarily suspend access if your usage materially exceeds the rate limits of your plan, threatens the stability of the Service, or appears to be the result of compromised credentials. We will notify you before any throttling that lasts more than one hour.

4. Acceptable use

You agree not to:

  • Resell or redistribute raw API responses as a substantively-similar product to retailerapi
  • Cache, store, or index our data beyond 30 days for any retailer's pricing or availability fields without our prior written consent (longer caching is permitted for static catalog data such as titles and images)
  • Attempt to extract, reverse-engineer, or otherwise reconstruct our backend infrastructure
  • Bypass, defeat, or circumvent our rate limits, throttle, or authentication
  • Use the Service to violate any applicable law or any retailer's terms of service
  • Use the Service to facilitate spam, fraud, harassment, or any abusive behavior
  • Use the Service to infringe any intellectual property right
  • Submit malicious code, attempt to intrude on our systems, or interfere with the integrity of the Service
  • Use the Service to develop a directly-competing product to retailerapi
  • Train machine-learning models on retailerapi data for the purpose of replicating retailerapi as a service

We may suspend or terminate accounts that violate this section. Material or repeat violations may result in termination without refund.

5. Billing, refunds, cancellation

Paid subscriptions are billed monthly in advance via Stripe in USD. Your subscription renews automatically on the same day of each month until you cancel. Cancellation takes effect at the end of the current billing period; you retain access through that date.

We offer a 14-day money-back guarantee on first-time paid subscriptions. After 14 days, payments are non-refundable except where required by law or as a goodwill exception at our discretion. Add-on credit packs are non-refundable once used.

We reserve the right to change pricing with 30 days' notice to existing subscribers. Pricing changes apply at the next renewal.

You authorize us to charge your payment method for all fees due. If a payment fails, we will attempt re-billing per Stripe's standard retry schedule. Persistent failure will pause your service until billing is restored.

6. Data ownership and license

You retain all rights to (a) your account information, (b) your API keys and their metadata, (c) the queries you submit, and (d) the responses we return to you. We do not claim ownership of any of the above.

You grant us a non-exclusive, worldwide license to (a) process your queries to provide the Service, (b) log usage for billing and abuse-prevention purposes, and (c) use aggregate, de-identified usage statistics for our own product improvement. This license ends when you close your account, except for legitimate retention obligations described in our Privacy Policy.

The product data we deliver to you (titles, images, prices, etc.) originates from third-party retailers and remains subject to those retailers' intellectual-property rights. Your use of that data must comply with the applicable retailer's terms. Retailer images we display in API responses are typically subject to the retailer's license; if you redistribute them publicly you are responsible for obtaining any necessary rights.

7. Affiliate links

Public product pages at retailerapi.com/p/<identifier> may include retailer affiliate links. We are a participant in retailer affiliate programs (Walmart Associates, Amazon Associates where applicable, eBay Partner Network, Impact Radius, and others). When a visitor clicks an outbound retailer link from a public product page and completes a qualifying purchase, we may earn a commission. Commissions do not influence which retailers we display or how we rank them.

8. Warranty disclaimer

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted operation. We do not warrant that retailer data is accurate, current, or complete.

9. Limitation of liability

To the maximum extent permitted by applicable law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to these Terms or the Service, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages. Our aggregate liability for all claims arising under these Terms is limited to the amount you paid us in the 12 months preceding the claim, or US $100 if no payment was made.

10. Indemnification

You agree to defend, indemnify, and hold harmless Scepter Software, Scepter Marketing Group, and their respective officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your use of the Service in violation of these Terms, (b) your violation of any law or third-party right, including any retailer's terms of service, or (c) any content you submit or transmit through the Service.

11. Termination

You may terminate your account at any time from the dashboard or by emailing software@sceptermarketing.com. We may suspend or terminate your access immediately for material breach of these Terms, persistent abuse, or non-payment after 14 days of attempted re-billing. Upon termination, your right to use the Service ceases immediately and we will delete your account data within 30 days subject to legal-retention obligations.

12. Modifications

We may update these Terms from time to time. We will post any material change to this page at least 30 days before it takes effect, and we will email all paid subscribers when we do. Continued use of the Service after a change means you accept the revised Terms. If you object to a change, your remedy is to terminate your account before the change takes effect.

13. Governing law and disputes

These Terms are governed by the laws of the State of Michigan, USA, without regard to its conflict-of-laws principles. The federal and state courts located in Washtenaw County, Michigan have exclusive jurisdiction over any dispute arising out of or relating to these Terms. The parties waive any objection to venue or inconvenient forum in those courts.

Before initiating any formal proceeding, the parties will first attempt to resolve any dispute informally by contacting software@sceptermarketing.com and engaging in good-faith discussions for at least 30 days.

14. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any plan-specific terms, constitute the entire agreement between you and us.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
  • No waiver. Our failure to enforce any right does not waive that right.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all our assets.
  • Force majeure. Neither party is liable for failure to perform due to causes beyond its reasonable control.
  • Notices. We will deliver notices to the email address on your account; you may deliver notices to software@sceptermarketing.com.
